Community Conduct Policy

Standards of behavior for all Panterai community members and workspaces

This Community Conduct Policy ("Policy") governs the behavior of all individuals who participate in any Panterai Inc. ("Panterai") community, workspace, or platform. This includes, without limitation: the Panterai website and application, all Discord servers operated or affiliated with Panterai, all Slack workspaces operated or affiliated with Panterai, project management tools and communication channels, in-person or virtual events, meetings, and gatherings, and any other digital or physical space associated with Panterai operations.

By creating an account on any Panterai platform, joining any Panterai workspace, or participating in any Panterai community, you automatically agree to abide by this Policy. This Policy is incorporated into and forms part of the Panterai Terms and Conditions.

1. Core Principles

Panterai is built on the premise that exceptional work requires an environment of mutual respect, intellectual rigor, and operational efficiency. Every member of our community is expected to uphold these principles in all interactions. We value direct, honest communication and constructive feedback. We expect professionalism in all interactions, regardless of the medium. We prioritize the safety, well-being, and productivity of every community member. We do not tolerate behavior that undermines the ability of others to do their best work.

Global Applicability: This Policy applies to all community members worldwide, regardless of their country of residence. Our standards are designed to meet or exceed the requirements of applicable anti-discrimination, anti-harassment, and workplace safety laws in all jurisdictions where our community members are located, including but not limited to Title VII of the U.S. Civil Rights Act of 1964, the UK Equality Act 2010, the EU Employment Equality Directive (Directive 2000/78/EC), the EU Racial Equality Directive (Directive 2000/43/EC), the Australian Anti-Discrimination Act 1977, the Canadian Human Rights Act, and the Brazilian Federal Constitution (Article 5). Where local law provides greater protections than this Policy, local law prevails.

2. Prohibited Conduct

The following categories of behavior are prohibited across all Panterai platforms and workspaces. This list is illustrative, not exhaustive. Panterai reserves the right to determine, at its sole discretion, whether conduct not explicitly listed below constitutes a violation of this Policy.

2.1 Harassment and Abusive Conduct

Any form of harassment, bullying, intimidation, or abusive behavior directed at any individual or group. This includes verbal abuse, threats, derogatory comments, personal attacks, unwelcome sexual attention or advances, stalking or persistent unwanted contact, and publishing private information about others without consent (doxxing). Harassment based on race, ethnicity, national origin, religion, gender, gender identity, gender expression, sexual orientation, age, disability, marital or civil partnership status, pregnancy or maternity, socioeconomic status, or any other characteristic protected by applicable law is strictly prohibited. This prohibition aligns with and incorporates the protected characteristics defined under the UK Equality Act 2010, the EU Charter of Fundamental Rights (Article 21), and equivalent protections in all jurisdictions where our community members reside.

2.2 Unsafe Work Environment

Any conduct that creates an unsafe, hostile, intimidating, or toxic work environment for other community members. This includes persistent negativity or cynicism that demoralizes others, passive-aggressive behavior that undermines collaboration, spreading rumors, gossip, or unverified claims about other members, creating cliques or exclusionary dynamics that marginalize others, and any behavior that causes reasonable individuals to feel unsafe, unwelcome, or unable to perform their work effectively.

2.3 Disruption of Productivity and Efficiency

Any conduct that materially hampers the efficiency, productivity, or operational effectiveness of Panterai, its projects, or its community members. This includes repeatedly derailing discussions or channels with off-topic content, spamming channels with irrelevant messages, links, or promotional content, intentionally slowing down or obstructing project workflows, refusing to follow reasonable project guidelines or communication protocols, creating unnecessary conflict or drama that diverts attention from productive work, and monopolizing shared resources or communication channels in ways that prevent others from participating.

2.4 Dishonesty and Fraud

Any form of dishonesty, misrepresentation, or fraud. This includes submitting plagiarized, AI-generated (where prohibited), or fraudulent work product, misrepresenting qualifications, experience, or identity, manipulating evaluation scores or gaming assessment systems, creating multiple accounts to circumvent restrictions, and impersonating other community members or Panterai staff.

2.5 Confidentiality Breaches

Any unauthorized disclosure of confidential information, including sharing project details, client information, or proprietary methodologies outside of authorized channels, discussing internal communications in public forums, and taking screenshots or recordings of confidential workspace content without authorization. Nothing in this Policy prohibits you from exercising any rights protected by applicable law, including the right to discuss your own compensation with other contractors to the extent protected by law.

2.6 Harmful Public Conduct

Conduct occurring outside of Panterai spaces that has a direct, demonstrable negative impact on the Panterai community, its members, or its operations. This includes making defamatory statements about Panterai, its clients, or its members on social media, public forums, or other platforms; engaging in conduct that damages Panterai's reputation or business relationships; and using information obtained through Panterai to harm or harass other members outside of Panterai spaces.

2.7 Illegal Activity

Any conduct that violates applicable local, state, federal, or international law, including but not limited to distribution of illegal content, unauthorized access to systems or data, and any activity that could expose Panterai or its community members to legal liability.

3. Enforcement Actions

Panterai employs a tiered enforcement framework. The matrix below represents a general guideline. PANTERAI RESERVES THE RIGHT, AT ITS SOLE AND ABSOLUTE DISCRETION, TO ESCALATE OR DE-ESCALATE THE SEVERITY OF ENFORCEMENT AT ANY TIME, IRRESPECTIVE OF THE NUMBER OF PRIOR OFFENSES, BASED ON THE NATURE, SEVERITY, AND CONTEXT OF THE VIOLATION.

Enforcement actions may include, without limitation: verbal or written warnings, temporary suspension from specific channels or workspaces, temporary suspension from the entire Platform (including all Discord, Slack, and other workspaces), permanent removal from the Platform and all associated workspaces, forfeiture of pending payments for work associated with the violation, and referral to law enforcement where appropriate. All enforcement actions will be documented in writing and communicated to the affected individual.

4. Investigation Procedures

Upon receiving a report of a potential violation, Panterai will: (a) acknowledge receipt of the report within 48 hours; (b) assign an investigator who has no conflict of interest with the parties involved; (c) gather relevant evidence, which may include reviewing messages, logs, work product, and interviewing witnesses; (d) provide the accused individual an opportunity to respond to the allegations before a final determination is made (except where immediate action is necessary to protect safety); and (e) communicate the outcome to the reporter and the accused individual, to the extent appropriate and consistent with privacy obligations.

Panterai aims to complete investigations within fourteen (14) business days, though complex matters may require additional time. During an investigation, Panterai may impose interim measures, including temporary suspension of the accused individual's access to some or all Platform features and workspaces, pending the outcome of the investigation. Interim measures are precautionary and do not constitute a finding of violation.

5. Panterai's Right to Remove

IMPORTANT: PANTERAI INC. RESERVES THE UNCONDITIONAL RIGHT TO REMOVE ANY INDIVIDUAL FROM THE PLATFORM, ANY DISCORD SERVER, SLACK WORKSPACE, OR ANY OTHER COMPANY-RELATED WORKSPACE OR COMMUNICATION CHANNEL, AT ANY TIME, FOR ANY REASON OR NO REASON, AT ITS SOLE AND ABSOLUTE DISCRETION, WITH OR WITHOUT PRIOR NOTICE.

This right exists independently of the tiered enforcement framework described above. Panterai is not required to follow the escalation matrix, provide warnings, or offer an opportunity to cure before exercising this right. The determination of whether conduct violates this Policy, or whether removal is otherwise warranted, is made by Panterai in its sole judgment and is final.

Without limiting the generality of the foregoing, Panterai may remove any individual whose continued presence, in Panterai's sole judgment: (a) creates or contributes to an unsafe work environment; (b) is disruptive to the productivity or efficiency of other community members; (c) is incompatible with the professional standards expected of Panterai community members; (d) poses a risk to Panterai's reputation, operations, or relationships with clients; or (e) is otherwise detrimental to the Panterai community for any reason.

BY AGREEING TO THIS POLICY, YOU WAIVE ANY AND ALL CLAIMS FOR DAMAGES, COMPENSATION, OR OTHER RELIEF ARISING FROM OR RELATED TO YOUR REMOVAL FROM THE PLATFORM OR ANY ASSOCIATED WORKSPACE, EXCEPT FOR PAYMENT OF UNDISPUTED AMOUNTS OWED FOR COMPLETED AND ACCEPTED WORK PERFORMED PRIOR TO REMOVAL, AS SET FORTH IN THE TERMS AND CONDITIONS.

6. Factual Review Process

If you believe that an enforcement action was based on a factual error (e.g., mistaken identity or incorrect attribution of conduct), you may submit a written request for factual review to [email protected] within seven (7) calendar days of receiving notice of the enforcement action. Your request must include specific facts and evidence demonstrating the alleged error. Panterai will review the request and respond within fourteen (14) business days. This factual review process is limited to correcting factual errors and does not constitute an appeal of Panterai's discretionary judgment. Panterai's decision following any factual review is final and binding.

7. Reporting Violations

If you witness or experience conduct that violates this Policy, please report it immediately. Reports can be submitted via email to [email protected], through the designated reporting channel in any Panterai Discord server or Slack workspace, or directly to any Panterai staff member or community moderator. All reports will be reviewed promptly. Panterai will make reasonable efforts to maintain the confidentiality of the reporter's identity, though complete anonymity cannot be guaranteed in all circumstances.

8. Anti-Retaliation and Good Faith Reporting

Retaliation against anyone who reports a violation in good faith is strictly prohibited and will itself be treated as a serious violation of this Policy, subject to immediate escalation up to and including permanent removal. Retaliation includes any adverse action taken against a reporter, witness, or participant in an investigation, such as harassment, exclusion, reduced project assignments, or negative treatment.

Reports made in good faith that are ultimately determined to be unfounded will not result in adverse action against the reporter. However, knowingly filing a false or malicious report is itself a violation of this Policy and may result in enforcement action against the individual who filed the false report.

9. Interaction with Law Enforcement

Panterai may report conduct to law enforcement authorities in any jurisdiction when, in its sole judgment: (a) the conduct constitutes or may constitute a criminal offense under the laws of any applicable jurisdiction; (b) there is an imminent threat to the safety of any individual; (c) the conduct involves the exploitation of minors; (d) Panterai is required to do so by law, court order, or regulatory requirement in any jurisdiction; or (e) the conduct involves fraud, theft, or unauthorized access to computer systems. Panterai will cooperate with law enforcement investigations to the extent required by applicable law, including requests from international law enforcement agencies under mutual legal assistance treaties (MLATs), the UK Crime and Courts Act 2013, Europol, and equivalent international cooperation frameworks. Where required by GDPR Article 6(1)(c) or UK GDPR Article 6(1)(c), Panterai may disclose personal data to law enforcement without the individual's consent where necessary to comply with a legal obligation.

10. Scope and Application

This Policy applies to all conduct that occurs within or in connection with Panterai platforms and workspaces, including conduct that occurs outside of Panterai spaces but that has a direct impact on the Panterai community, its members, or its operations. This includes but is not limited to social media posts, public forum discussions, blog posts, and any other public or private communications that reference Panterai, its clients, its projects, or its community members. This Policy applies equally to all community members, regardless of their role, tenure, or contribution level. Panterai staff and moderators are held to the same standards and are subject to the same enforcement actions.

11. Moderator Authority

Panterai-designated moderators and staff members are authorized to act on behalf of Panterai in enforcing this Policy across all platforms and workspaces. Moderators have the authority to: (a) issue warnings; (b) mute, restrict, or temporarily suspend members; (c) remove content that violates this Policy; (d) escalate matters to Panterai leadership for further action; and (e) take any other reasonable action necessary to maintain a safe and productive community environment. Moderator decisions are subject to review by Panterai leadership upon request.

12. Record Keeping

Panterai maintains records of all reported violations, investigations, and enforcement actions. These records are retained indefinitely for the purpose of tracking patterns of behavior, informing future enforcement decisions, and protecting Panterai's legal interests, subject to applicable data protection laws. Records are stored securely and access is limited to authorized Panterai personnel involved in enforcement and legal matters. Where records contain personal data, they are processed in accordance with our Privacy Policy, including GDPR Articles 5(1)(e) and 17, UK GDPR, and equivalent data protection legislation. Individuals may exercise their data subject rights (including access and erasure) with respect to enforcement records, subject to applicable exemptions for the establishment, exercise, or defense of legal claims.

13. Automatic Agreement

By creating a profile or account on any Panterai platform, joining any Panterai Discord server or Slack workspace, or participating in any Panterai community or event, you automatically and irrevocably agree to be bound by this Community Conduct Policy. No separate signature or acknowledgment is required. Your continued participation constitutes ongoing acceptance of this Policy and any amendments thereto. This agreement is also established through your acceptance of the Panterai Terms and Conditions, which incorporate this Policy by reference.

14. Third-Party Platform Terms

Panterai communities hosted on third-party platforms (such as Discord or Slack) are also subject to those platforms' own terms of service and community guidelines. Compliance with this Policy does not relieve you of your obligation to comply with the terms of service of the underlying platform. In the event of a conflict between this Policy and a third-party platform's terms, the more restrictive standard applies.

15. Modifications

Panterai reserves the right to modify this Policy at any time, at its sole discretion. Changes will be posted on the Panterai website with a revised "Last Updated" date. Material changes may also be communicated through Discord, Slack, or email. Your continued participation in any Panterai community after modifications are posted constitutes acceptance of the updated Policy.

Mandatory Local Protections: Nothing in this Policy limits any rights you may have under mandatory provisions of the laws of your country of residence that cannot be derogated from by agreement. In particular, this Policy does not limit any whistleblower protections available to you under the EU Whistleblower Protection Directive (Directive (EU) 2019/1937), the UK Public Interest Disclosure Act 1998, the U.S. Dodd-Frank Act, the Australian Corporations Act 2001 (Part 9.4AAA), or equivalent legislation in your jurisdiction. If any provision of this Policy conflicts with mandatory local law, the mandatory local law shall prevail to the extent of the conflict, and the remainder of this Policy shall continue in full force and effect.
